1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website, software, and services provided by Optify Local LLC (“Optify Local,” “we,” “our,” or “us”).

By accessing or using our website or software-as-a-service platform (the “Service”), you agree to be bound by these Terms. If you do not agree, you may not use the Service.


2. Description of Service

Optify Local provides a software platform that enables businesses to manage customer communications, send SMS and email messages, generate review requests, and automate related messaging workflows.

Optify Local provides software tools only. We do not operate as a marketing agency and do not guarantee any specific marketing results, revenue increases, or review outcomes.


3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.

If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.


4. Account Registration

To access certain features, you must create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your login credentials
  • Notify us immediately of unauthorized access

You are responsible for all activity under your account.


5. Subscription & Payment Terms

Fees

Certain features require payment of subscription fees. Fees are billed in advance on a recurring basis (monthly or annually depending on your selected plan).

Payment Authorization

By providing payment information, you authorize Optify Local to charge your payment method for all applicable fees.

Failed Payments

If payment fails, we may suspend or terminate access to the Service.

Refunds

Unless otherwise stated in writing, subscription fees are non-refundable.


6. Customer Responsibilities

You are solely responsible for:

  • The accuracy and legality of Customer Data you upload
  • Obtaining all required consents from your customers
  • Compliance with applicable laws, including but not limited to:
    • Telephone Consumer Protection Act (TCPA)
    • CAN-SPAM Act
    • Applicable privacy laws
    • Carrier messaging regulations

Optify Local does not verify consent and is not responsible for your failure to obtain lawful permission before contacting your customers.


7. SMS Messaging Terms & Use Cases

If you use Optify Local’s SMS messaging features, the following terms apply:

SMS messages sent through the platform may include:

  • Appointment confirmations and reminders
  • Service notifications and updates
  • Customer service communications
  • Follow-up messages
  • Review requests after completed services
  • Account-related notifications

Message frequency varies depending on customer interaction and business workflows.

Consent Requirement

You must obtain express consent from recipients before sending SMS communications.

Consent must be clear, documented, and compliant with applicable regulations.

Opt-Out Instructions

Recipients may opt out of SMS communications at any time by replying:

STOP

Upon receipt of a STOP message, messaging must cease immediately unless otherwise permitted by law.

Recipients may reply:

HELP

to receive assistance or support information.

Message & Data Rates

Message and data rates may apply depending on the recipient’s mobile carrier and plan.

Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

Prohibited Content

You may not use the Service to send:

  • Unlawful content
  • Deceptive or misleading messages
  • Spam or unsolicited marketing messages
  • Abusive, harassing, or fraudulent communications

Optify Local reserves the right to suspend or terminate accounts that violate messaging regulations or carrier policies.


8. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Send spam or unsolicited communications
  • Upload malicious code
  • Attempt to reverse engineer the platform
  • Interfere with system security or performance

Violation may result in suspension or termination.


9. Intellectual Property

All software, trademarks, branding, design, and content provided by Optify Local are the exclusive property of Optify Local LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription.

You may not copy, modify, distribute, or create derivative works without written permission.


10. Data Ownership

You retain ownership of Customer Data you upload.

Optify Local may access and process Customer Data solely to provide and improve the Service.

We do not sell Customer Data.


11. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability.

We may modify, suspend, or discontinue features at any time without liability.


12. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

Optify Local makes no warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Guaranteed marketing or revenue results

13. Limitation of Liability

To the fullest extent permitted by law, Optify Local LLC shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Claims arising from your communications with your customers

Total liability shall not exceed the amount paid in the twelve (12) months preceding the claim.


14. Indemnification

You agree to indemnify and hold harmless Optify Local LLC from any claims, damages, liabilities, costs, or expenses arising from:

  • Your misuse of the Service
  • Your violation of these Terms
  • Your failure to obtain required customer consent
  • Your violation of applicable laws

15. Termination

You may cancel your subscription at any time.

We may suspend or terminate access immediately if you violate these Terms.

Upon termination, your access will cease.


16. Governing Law

These Terms shall be governed by the laws of the State of Utah.

Any disputes shall be resolved in the state or federal courts located in Utah.


17. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance of updates.
